1. Acceptance of Terms
By creating an account or using Lipwa at lipwa.online, you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree, do not use the platform.
These Terms form a legally binding agreement between you and Lipwa Online (BN-VZSE9R9Z), Kenya ("Lipwa", "we", "us", "our").
You must be at least 18 years old and have the legal capacity to enter into contracts to use Lipwa.
2. Who We Are
Lipwa is operated by Lipwa Online, a registered business in Kenya (Business Name Registration No. BN-VZSE9R9Z).

3. What Lipwa Is (and Isn't)
Lipwa is an invoicing and client management tool for freelancers and small businesses in Kenya. It allows you to create, send, and track invoices and record payments.
Lipwa is NOT:
- A payment processor — Lipwa does not move money on your behalf
- A bank or financial institution
- A tax advisor or accountant
- Responsible for ensuring your invoices comply with KRA, eTIMS, or VAT requirements
- Responsible for disputes between you and your clients
All payments between you and your clients happen outside Lipwa. We are a record-keeping and invoicing tool only. You are solely responsible for collecting payment from your clients.
4. Account Registration
To use Lipwa, you must create an account with a valid email address. You agree to:
- Provide accurate and truthful registration information
- Keep your password secure and confidential
- Notify us immediately at hello@lipwa.online if you suspect unauthorised access to your account
- Be responsible for all activity that occurs under your account
One account per person or business entity. You may not share accounts or create accounts on behalf of others without their authorisation.

Billing
- Paid plans are billed monthly via Paystack (card payment)
- Billing begins on the date you upgrade to a paid plan
- Subscriptions renew automatically each month unless cancelled
- Prices are in Kenyan Shillings (KES) and inclusive of any applicable taxes
Cancellation
- You may cancel your subscription at any time from your account settings
- Upon cancellation, your paid plan remains active until the end of the current billing period
- You will not be charged for the next billing period after cancellation
- Your account will revert to the Free plan at the end of the billing period
Failed Payments
If a payment fails, we will notify you by email. If payment is not resolved within 7 days, your account may be downgraded to the Free plan until payment is completed.
6. Refund Policy
Lipwa subscriptions are billed monthly and are generally non-refundable. However:
- If you were charged due to a technical error on our part, we will issue a full refund
- If you contact us within 48 hours of a renewal charge and have not used the paid features in that billing period, we will review your request and may issue a refund at our discretion
- Partial-month refunds are not provided
To request a refund, email hello@lipwa.online with the subject "Refund Request" within 48 hours of the charge. Include your account email and the transaction date.
7. Acceptable Use
You agree to use Lipwa only for lawful purposes. You must not:
- Use Lipwa to create fraudulent invoices or misrepresent transactions
- Attempt to access another user's account or data
- Reverse-engineer, copy, or redistribute any part of the Lipwa platform
- Use automated scripts, bots, or crawlers against the platform
- Upload malicious code, scripts, or content of any kind
- Use Lipwa to facilitate money laundering, tax evasion, or any criminal activity
- Resell access to Lipwa or create a competing product using our platform
We reserve the right to suspend or terminate accounts that violate these rules without prior notice.
8. Your Data and Content
You own your data. Your invoices, client records, and business information belong to you. We do not claim any ownership over content you create in Lipwa.
By using Lipwa, you grant us a limited licence to store and process your data solely for the purpose of providing the service to you. We will never sell, share, or commercially exploit your data.
You may export or delete your data at any time. On account deletion, your data is permanently removed in accordance with our Privacy Policy.
9. Your Tax Obligations
You are solely responsible for your own tax compliance in Kenya and any other jurisdiction where you operate. This includes but is not limited to:
- Income tax filings with KRA via iTax
- VAT registration and filing if your turnover exceeds KES 5,000,000 per year
- eTIMS compliance once you are VAT-registered
- Turnover Tax (ToT) obligations if applicable
- Withholding tax on applicable payments
Lipwa does not provide tax invoices, KRA-compliant receipts, or eTIMS-integrated documents. The invoices generated by Lipwa are business invoices between you and your clients. You are responsible for ensuring your invoicing meets any applicable KRA requirements for your business.
We strongly recommend consulting a licensed accountant or tax advisor for your specific situation. Lipwa provides no tax advice, express or implied.
10. Account Suspension and Termination
You may close your account at any time
You can delete your account from the account settings page. This immediately and permanently deletes your account and all associated data.
We may suspend or terminate your account if you:
- Violate these Terms of Service
- Provide false or misleading registration information
- Engage in fraudulent, illegal, or abusive activity
- Fail to pay for a paid subscription after reasonable notice
- Attempt to circumvent security measures or access other users' data
For serious violations, we may suspend without prior notice. For less severe violations, we will typically send a warning email first and allow 7 days for you to remedy the issue before suspension.
On termination, your right to use Lipwa ceases immediately. We will delete your data within 30 days of account closure.
11. Limitation of Liability
Lipwa is provided "as is" and "as available" without warranties of any kind, express or implied. To the fullest extent permitted by Kenyan law, Lipwa Online shall not be liable for:
- Loss of revenue, profits, or business resulting from use of or inability to use the service
- Loss of data, invoices, or client records due to technical failure (we recommend maintaining your own records)
- Disputes between you and your clients regarding payment or services
- Your failure to comply with tax laws, KRA requirements, or eTIMS obligations
- Actions or inactions of third-party services (Paystack, Supabase, Resend, Netlify)
- Any indirect, consequential, or incidental damages arising from use of the platform
Our total liability to you for any claim arising from use of Lipwa shall not exceed the total amount you paid to us in the 3 months preceding the claim.
12. Indemnification
You agree to indemnify and hold harmless Lipwa Online, its operators, and agents from any claims, losses, damages, or legal costs arising from:
- Your violation of these Terms
- Your use of the platform in breach of applicable law
- Any dispute between you and a third party, including your clients
- Content or data you upload to or create using Lipwa
13. Changes to the Service
We reserve the right to:
- Modify, add, or remove features from Lipwa at any time
- Change subscription pricing with at least 30 days' notice to existing subscribers
- Discontinue the service with 60 days' notice, during which you may export your data
- Update these Terms — we will notify you by email and display a notice on the dashboard
Continued use of Lipwa after changes to the Terms constitutes acceptance of the updated Terms.
14. Governing Law
These Terms are governed by and construed in accordance with the laws of the Republic of Kenya. Any disputes arising from or related to these Terms or your use of Lipwa shall be subject to the exclusive jurisdiction of the courts of Kenya.
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
